Representation and Management

• "Vertexual Foundry", "Vertexual Foundry: Exchange", "V:EX", "Vertexual Visionary", "Vertexual", and all subsidiaries are unregistered trademarks, associated and copyrighted to the Vertexual Group.
• The Vertexual Incomplete Pyramidal Logo (Vertexual Logo) is copyrighted to Vertexual and used to represent Vertexual. All rights reserved.
• Strictly No Unauthorised Replication of any works bearing the Vertexual Logo.
• The Vertexual™ Brand can only be used under representation by accepted partners and affiliates.
• Any violations will be met with DMCA / Legal take-down actions.
• The Vertexual Foundry: Exchange may be referred to as
  • "The Foundry" on all Vertexual partner sites and its parent site or
  • "Vertexual Foundry" on any other sites not owned by the Vertexual Foundry or
  • "V:EX" on sites that the Vertexual Foundry: Exchange operates a service or is advertised from or
  • "Vertexual Foundry: Exchange" on sites advertising the use of the V:EX.
• Collectively, the Vertexual Foundry may be referred to as The Vertexual Group.
• The Vertexual Foundry must not be represented on any sites that condone the practice of piracy, copyright infringements, political websites, and every other website that supports illegal activities.
  When reports are received that the the Foundry is being represented on such sites, disablement of relevant violating accounts will be taken and/or legal damages may be claimed against such individuals or entities.

Account Servicing

• The Vertexual Foundry: Exchange will only serve non-guest IMVU accounts that have been registered for a minimum of 30 days.
• The Vertexual Foundry: Exchange reserves the right to deny services to accounts deemed as high risk or may present risk of laundering illegally obtained credits, whilst these accounts may not be involved in such mentioned activities.
• Accounts will be recognised through the use of OpenID, in which IMVU is a provider of such service.
• High risk accounts will be recognised through private shared maintained database within the reselling community in IMVU.
• Such accounts may be recognised by, but not solely from or limited to, the Account ID, account name, email address, PayPal information, IP addresses and/or physical living addresses.

Privacy

• The Foundry adopts PayPal as its primary mode of payment and thus, all Credit Card and PayPal transactions are carried out in a secure environment handled by PayPal.
• Private financial information will not be obtained nor stored by The Foundry.
• The Foundry will require and store certain information provided by PayPal.
• The users' private information will not be exposed to any third parties except when subpoenaed or required by law to be facilitated for investigations.
• The Foundry has security measures to ensure the integrity of each sale, to minimise fraud, the IP Address, PayPal Information, IMVU Avatar Name and IMVU Account ID of the buyer and recipient will be logged per transaction.
• The V:EX uses cookies and session information to track the users of the V:EX and will not share the activities of these users with any other entity unless required by law.

Partners Conduct and Acceptance Policy

• The Foundry supports Content Developers for IMVU in 3 ways:
  • Foundry Partner
  • Affiliated Partner
  • IMVU Content Creators (Public Sellers)
• The term Partners, hereafter, refers to all instances of Foundry Partners and Affiliated Partners unless specified.
• Partners of the Vertexual Foundry are expected to maintain a high level of professionalism. If any such partner has proven to have performed unprofessional services determined by the Vertexual Group, we will terminate their partnership with The Foundry and/or all Vertexual related subsidiaries.
• Partners are to accept and abide by IMVU's and the Foundry's Policies and Terms of Service.
• Foundry Partners must be Content Creators or a Group of Content Creators.
• Affiliate Partners can be Content Creators, a Group of Content Creators, a Reselling entity or Advertising and Marketing sites.
• Partnership requests will be submitted for interview with the Manager of the Vertexual Group.
• Partners will have access to certain features of the site for V:EX but not solely limited to such features aforementioned:
  • Complete selling rate breakdown
  • Foundry Shop and Badge Manager
  • Quickened Withdrawal Approvals* (not available to Affiliate Partners)
  • *V:EX sends mass payment to all approved sellers' requests once a day. The quickened withdrawal does not supersede this.
• Foundry Partners will be auto-included into the V.I.P. random referrer allocator that allocates partners to new registers who do not have a referring account tagged during registration.
• Partners are considered Private Sellers in the V:EX P6 Market system.
• Foundry Partners are required to host the Vertexual Foundry's banner(s) on their site(s).
• Foundry Partners are required to host the Vertexual Foundry's banner(s), V.I.P. or otherwise, on 100% of their products submitted after the PID: 3876529 except products locked by IMVU.
  Foundry Partners are encouraged but not limited to placing the Vertexual Foundry's banner(s) on products submitted before the PID: 3876529
• Partners may advertise other resellers on their site(s) through the use of such mentioned reseller(s)' banners.
• Partners are encouraged but not required to run shout-outs to advertise the use of V:EX.
• Affiliated Partners are encouraged to advertise the V:EX on their sites by means of referring links or the V.I.P. System.
• All Partner(s) must have a V.I.P. Account with the V:EX, and a PayPal Account capable of receiving money.
• V.I.P.s may be refused acceptance as Private Sellers and, in Partnership if they are suspected as high risk accounts as detailed in Accounts Servicing.

Public Sellers and Acceptance Policy

• Public Sellers are V.I.P. Members registered and activated in the V:EX that have applied for becoming a seller and has been accepted.
• Public Sellers will only see the rates of other Public Sellers when determining their selling rates for any credit volume.
• Public Sellers will not see the Private Sellers' selling rates.
• The Foundry V.I.P. Members may apply to be a Public Seller if they are Content Creators in IMVU or services that provide a service for IMVU users.
• Acceptance as a Public Seller will be determined by gauging their selling volume against their number of products in the IMVU catalog and/or reference to their daily/monthly Sales Reports and/or Tiers Reports.
• Public Sellers' withdrawal requests, upon request will incur an administrative waiting period of 2 days after which the payment will be slated for approval and sent by the next day of the approval.
• The administrative period may be reduced/adjusted at any moment during the actual waiting period at the Foundry's discretion in order to better service the sellers.
• All Seller(s) must have a V.I.P. Account with the V:EX, and a PayPal Account capable of receiving money.
• V.I.P.s may be refused acceptance as Public Sellers if they are suspected as high risk accounts as detailed in Accounts Servicing.
• ALL Sellers are paid only when their credits are sold AND delivered to the buyer.

Rates Management (P6 Market)

• In order to prevent a monopoly of rates or sudden market crash/revision by means of hostile takeovers, V:EX has installed several management systems.
• A fluctuating House Rate to balance the market is utilised for such purpose. It has other uses such as fraud management.
• The P6 system is designed to manage the credit volume of six different selling rates by means of aggregating 3 Private and 3 Public selling rates along with the inclusion or absence of the House Rate.
• This means sellers are not selling direct to the buyers but instead sharing with many other selling rates to sell to the buyers.
• The 1st top selling rate per private and public category has a 20% credit involvement share per transaction.
• The 2nd top selling rate per private and public category has a 15% credit involvement share per transaction.
• The 3rd top selling rate per private and public category has a 10% credit involvement share per transaction.
• The House Rate carries a 10% credit involvement share per transaction.
• Any spillover percentage will be carried down to the next cheapest selling rate.
• In the absence of the House Rate, 5% will be accorded each to the Public and Private 1st top selling rate respectively.

IMVU Credits

• The Vertexual Foundry does not hold ownership to the Virtual assets created by IMVU known as IMVU Credits.
• Similarly, the IMVU Users do not own the credits but are instead accorded a virtual value by IMVU.
• It is this value that the V:EX is beheld the responsibility to hold for the Sellers.
• Thereafter, the V:EX does not own the IMVU credits transferred by the various sellers to the V:EX account, Vertexual.
• V:EX is not a bank to hold credits for sellers.
• There will be a 3% withdrawal fee imposed to sellers' credits withdrawn that are not purchased.
• The V:EX will only hold credits for the sellers for their selling privileges.

V.I.P. Regulations

• All registered users with the Vertexual Foundry are considered V.I.P.s, Vested Interest Partners.
• The V.I.P. sector runs in conjunction with IMVU's TOS and Policies, separate from their own V.I.P. system.
• Only V:EX V.I.P.s may buy credits from the V:EX.
• V:EX V.I.P. registration is free.

Credits Delivery and Credits Withdrawal and Money Withdrawal

• Delivery of credits are instantaneous though the use of the IMVU API Gateway for Resellers.
• Each credits purchase transaction is subjected to a variable administrative fee from 8% to 12% depending on the volume of credits involved.
• Upon completion of a transaction and/or authorisation of compromised transactions, credits will be sent to the recipient as detailed in the transaction.
• In the event the credits are not delivered after PayPal has reported a completed transaction, this may be due to a delay in the PayPal IPN system with communication with our server, or IMVU's gateway was not available at the point of delivery, and/or the transaction was deemed compromised by V:EX and requires authorisation which is sent to all the emails involved in the transaction.
• In the case that credits are not delivered , please contact support@vertexual.net so this can be looked into.
• Withdrawal of credits will incur a 3% withdrawal fee. This applies only to credits that are sent to the V:EX for custody but are not utilised nor sold.
• All credits sold are delivered immediately and are not held. Held credits are on credits that are presently in the selling queue.
• Only credits not being sold can be withdrawn but the 3% fee applies.
• V:EX is not a bank, V:EX is more like a custodian for credits and the money used to pay for the credits on behalf of the owners and sellers.
• All Sellers may request the withdrawal of their money at any point but subjected to a minimum withdrawal sum of USD$4.50.
• Public Sellers' monetary withdrawal request takes up to 48 hours to be approved but Private Sellers will only take up to 24 hours for approval to be granted.
  After which, all sellers undergo an administrative processing period of 24 hours before the withdrawal via PayPal's Masspay is sent to the listed email of the sellers' account.
• The administrative period may be adjusted at any moment during the actual processing period at the Foundry's discretion in order to better service the sellers.

Refund Policy

• Unauthorised/Incomplete Transactions will be refunded after up to 72 hours of inactivity or upon notification.
• For transactions that require authorisations, credits will be delivered within 12 hours upon receipt and completion of authorisation. Failure to receive authentication or initiate communication will result in a refund within 72 hours.
• Refunds are made though PayPal to the email/credit account used with PayPal during the transaction of the Invoice that is being refunded.
• Credits sold and delivered are non-refundable due to their intangible nature and the custodian status of the V:EX.
• Credits sold but undelivered are refundable as long as the sellers have not been paid.

IMVU OpenID

• IMVU is a OpenID provider and has allowed the use of OpenID to encourage single account tracking for IMVU users.
• The V:EX uses OpenID to track and trace accounts to ensure the account owner is using the correct account when making a transaction or registration.
  This prevents falsification of information or impersonation and protects IMVU users from being grieved by other IMVU users or non-users.
• V:EX will only use the information provided by IMVU users through OpenID to validate the account's ownership.
